01 Who is the seller

The Orcast application is developed and licensed by DEMHA FUTURE - FZCO — a free-zone company registered in Dubai (United Arab Emirates). Our details are below.

Throughout this document, DEMHA FUTURE - FZCO is referred to as "we", "us", or the "Company", and you — the user of the application — as "you" or the "User".

02 What Orcast is and what you get

Orcast is a native macOS application that automatically edits a multi-camera podcast. You add files from several cameras, the app syncs them by audio, cuts to whoever is currently speaking, and delivers a finished edit. Video and audio processing runs on your Mac — your source video files are never uploaded; only tiny loudness numbers go to our editing engine (see the data section for details).

Here is exactly what you get:

• The app installs and runs for free. No payment is required to download Orcast and try it out.
• The first 5 minutes of any edit are free. You see the engine's results on your own footage with no limit on how long you can test it.
• The full edit and export of the finished video are available by subscription. A subscription removes the 5-minute limit and unlocks export of the final multi-camera edit.

We may refine, improve, and change Orcast's features. We try not to introduce material changes that affect the scope of a paid subscription to the detriment of a period you have already paid for.

03 Payments and Merchant of Record

Subscription sales are processed by Lemon Squeezy, acting as the Merchant of Record. This means that when you take out a subscription, Lemon Squeezy is your counterparty for the payment transaction: they are the ones who accept payment, process your card details, calculate and remit applicable taxes (VAT / sales tax based on the buyer's country), and handle refunds.

• Payments, receipts, and tax documents come from Lemon Squeezy.
• The price on the checkout page may include your country's tax — the final amount is shown before you confirm payment.
• Refunds are governed by our Refund Policy and are handled through Lemon Squeezy.
• Because Lemon Squeezy is the Merchant of Record, the charge on your card or bank statement will appear under Lemon Squeezy (for example, "LEMONSQUEEZY.COM* ORCAST" or similar), not under DEMHA FUTURE - FZCO.

By taking out a subscription, you also accept the applicable terms of Lemon Squeezy as the payment provider.

04 Subscription and renewal

Plans

An Orcast subscription is offered in one of the following billing cycles:

• Monthly — $12 / month. Billed once a month.
• Annually — $99 / year. Billed once a year (cheaper than monthly).

All prices are in US dollars (USD), excluding your country's taxes, which may be added at checkout.

Automatic renewal

The subscription renews automatically at the end of each paid period (month or year) at the price in effect at that time, until you cancel it. Payment is charged to the linked payment method through Lemon Squeezy.

How to cancel

You can cancel the subscription at any time — via the subscription-management link in the email from Lemon Squeezy (the customer portal) or by writing to us at info@demhafuture.com. After cancellation:

• further charges stop;
• you keep full access until the end of the period you have already paid for;
• once the period ends, the account returns to free mode (installation, launch, and the first 5 minutes of editing remain available).

Price changes

If we change the subscription price, we will notify you in advance (by email to your account address) before the new price applies to your renewal. You have the right to cancel the subscription before the new price takes effect if it does not suit you.

05 Account, license, and devices

The license is tied to your account. To use the subscription, you sign in to your account (by email or via Google). One active subscription grants the right to use Orcast on up to 3 (three) Macs at the same time.

• The license is personal and granted to you. It may not be transferred, resold, rented, sublicensed, or shared with third parties.
• You are responsible for keeping your login credentials safe and for actions taken under your account.
• When changing devices, you can unlink an old Mac and connect a new one within the limit; the unlinking rules may reasonably restrict how often you transfer to protect against abuse.
• We may suspend or terminate access in the event of a breach of these Terms, fraud, or improper use of the license.

06 Acceptable use

By using Orcast, you agree not to:

• circumvent, disable, or crack license verification, limits, or other technical measures;
• decompile, disassemble, or otherwise extract the source code, except where expressly permitted by applicable law;
• use the application for illegal activity or to infringe the rights of third parties;
• resell access to the application or pass off its functionality as your own.

You are solely responsible for ensuring that you hold all rights to the video and audio material you process in Orcast.

07 Data and privacy

Orcast processes your video and audio locally on your Mac — files are not uploaded to our servers. Only the minimum data needed to operate leaves your device:

• Your account email — for sign-in and license tracking (via Google Firebase).
• Small numeric loudness values that the editing engine needs — not the video material itself.
• Only if you enable subtitles — the audio is sent to AssemblyAI for transcription.

Our sub-processors: Lemon Squeezy (payment and billing), Google Firebase (sign-in and licensing), AssemblyAI (subtitles, optional). We honor GDPR rights (access, deletion, data portability) — requests to info@demhafuture.com. Full details are in our Privacy Policy.

08 Intellectual property

The Orcast application, its code, design, trade name, and all related rights belong to DEMHA FUTURE - FZCO. The subscription grants you a limited, non-exclusive, non-transferable license to use the application in accordance with these Terms — and does not transfer ownership of the application itself to you.

Your content stays yours. The video, audio, and finished edits you create in Orcast belong entirely to you. We claim no rights to your material and do not use it for our own purposes.

09 Warranties and limitation of liability

The application is provided "as is" and "as available", without any express or implied warranties beyond those expressly required by applicable law. We do not warrant that the application will operate entirely uninterrupted or error-free, or that the result of the automatic editing will suit any given task without your review.

To the maximum extent permitted by applicable law, DEMHA FUTURE - FZCO shall not be liable for indirect, incidental, or consequential damages. The Company's total liability relating to the application is limited to the amount you actually paid for the subscription during the last 12 months.

Nothing in this section limits rights that cannot be limited by law, including mandatory consumer rights (see the next section).

10 Governing law and consumer rights

These Terms are governed by the laws of the United Arab Emirates and the applicable regulations of the Emirate of Dubai, without regard to conflict-of-laws rules.

If you are a consumer in the European Union (or another region with mandatory consumer legislation), you retain all mandatory rights under local law that cannot be waived by contract. In particular, EU consumers have a 14-day right of withdrawal when taking out a subscription. The terms and procedure for refunds are described in our Refund Policy and are handled through Lemon Squeezy as the Merchant of Record.

If you have a dispute or complaint, please email us first at info@demhafuture.com so we can try to resolve it informally before taking any formal action. This step does not remove or limit any mandatory consumer rights you may have under your local law.

11 Changes to the terms

We may update these Terms from time to time. The current version is always available on this page, and the date at the top of the document reflects the latest update. We will notify you by email to your account address of material changes that affect your rights or payments. By continuing to use Orcast after the changes take effect, you accept the updated Terms.
